1. Minimum Order Requirements

  • Opening Order Minimum: $300

  • Reorder Minimum: $150

 

2. Order Placement

Orders may be placed through:

  • Our website with a registered wholesale account

  • Faire, FashionGo, Hubventory

  • A Kaxi sales representative

Kaxi reserves the right to approve or deny wholesale accounts at its sole discretion based on alignment with our brand.

 

3. Lead Time & Shipping

  • Processing Time: Orders typically ship within 3–5 business days.

  • Rush Orders: Available upon request and subject to approval.

  • Shipping Origin: All orders ship FOB Bluffdale, UT.

  • Shipping Fees: Orders over $200 qualify for free shipping; orders under $200 incur a flat $10 shipping fee.

Title and Risk of Loss: Title to and risk of loss of the Products passes to the retailer upon delivery to the carrier.

 

4. Payment

  • Payment is due at the time the order is placed unless otherwise agreed upon in writing.

  • We accept major credit cards and terms via Faire.

  • Net terms are available to qualified buyers upon approval.

 

5. Returns & Exchanges

  • All sales are final.

  • Returns or exchanges are accepted only in cases of damaged or incorrect items.

  • Claims must be reported within 7 days of receipt, including photographic documentation of the issue.

 

6. Product Display & Branding

  • Products must be sold under the Kaxi brand name and must include Kaxi packaging when provided.

  • No alterations to logos, tags, or branded materials are permitted.

 

7. Online Sales Policy

  • Selling Kaxi products on third-party marketplaces (including but not limited to Amazon, Etsy, Walmart Marketplace) is strictly prohibited.

  • Violation of this policy may result in suspension or termination of your wholesale account.

  • Retailers may sell on their own branded websites and social channels only.

 

8. Pricing Standards and MSRP

  • Retailers are required to adhere to Kaxi’s Manufacturer’s Suggested Retail Price (MSRP) to maintain the integrity and value of the Kaxi brand.

  • Retailers may not advertise or publicly display prices below the MSRP without prior written approval from Kaxi.

  • Temporary discounts, promotions, or clearance events are permitted provided they:

    • Are limited in duration

    • Are not advertised as ongoing or permanent markdowns

    • Do not diminish the perceived value of the brand.

  • Retailers are encouraged to maintain pricing consistent with other authorized retailers to avoid undercutting or price dilution.

  • Kaxi reserves the right, at its sole discretion, to suspend or terminate a wholesale account for repeated or material violations of this pricing policy.

 

9. Cancellations

  • Orders may be canceled within 24 hours of placement without penalty.

  • Cancellations after 24 hours are subject to a 10% restocking fee.

 

10. Backorders

  • Backordered items will ship as they become available, unless otherwise requested.

  • If an item becomes unavailable:

  • It will either be refunded or

  • Replaced with a similar product of equal value, based on your preference.

  • Some items are part of limited collections and will not be restocked once sold out.

 

11. Zip Code Protection

  • Kaxi Co. does not offer zip code or territory protection for wholesale accounts.

  • Our products are versatile and appeal to a wide range of retailers, from boutiques and salons to lifestyle shops and gift stores. Because of this flexibility, we do not restrict sales based on geographic location.

  • We encourage each retailer to curate selections that align with their customer base to help differentiate their assortment.


12. Intellectual Property

All trademarks, trade names, logos, copyrighted materials, and product designs are and shall remain the exclusive property of Kaxi. Retailer acknowledges that it acquires no ownership interest in any Kaxi intellectual property and agrees not to use any such property except as expressly authorized in writing by Kaxi.

 

13. Limitation of Liability

To the maximum extent permitted by law, in no event shall Kaxi be liable for any indirect, incidental, consequential, special, or punitive damages, including but not limited to lost profits, arising out of or related to these Terms or the sale of Products. Kaxi’s liability shall in no event exceed the purchase price actually paid by the retailer for the specific Products giving rise to the claim.

 

14. Force Majeure

Kaxi shall not be liable for any delay or failure to perform its obligations under these Terms due to events beyond its reasonable control, including but not limited to acts of God, natural disasters, war, terrorism, pandemics, labor disputes, carrier delays, or government actions.

 

15. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the State of Utah, without regard to its conflict of laws principles. Any disputes arising out of or relating to these Terms shall be resolved exclusively in the state or federal courts located in Salt Lake County, Utah, and each party consents to the jurisdiction of such courts.

 

16. Reservation of Rights

Kaxi reserves the right to update or modify these Terms at any time. Any changes will be effective for all orders placed after the effective date of the updated Terms. Retailers are encouraged to review these Terms periodically.
